Terms & Conditions
These Affiliate Program Terms and Conditions ("Agreement") govern the relationship between you ("Affiliate") and Spritz Finance Inc. ("Company") regarding your participation in the Company's Affiliate Program ("Program").
- Enrolment in the Program
To enrol in the Program, you registering at the Spritz Affiliate Program page. The Company reserves the right to reject any registration in its sole discretion.
- Affiliate Responsibilities
As an Affiliate, you agree to:
a) Promote the Company's products or services to your audience in a lawful and ethical manner;
b) Include a unique affiliate link provided by the Company in your promotions;
c) Comply with all applicable laws, rules, and regulations in your promotion of the Company's products or services;
d) Not engage in any conduct that could damage the reputation of the Company or its products or services;
e) Promptly remove any materials or promotions upon the Company's request;
f) The Company may request raw content from the Affiliate for the purpose of promoting the Company's products or services. The Affiliate agrees to provide the Company with any requested raw content in a timely and efficient manner. The Company may use the raw content provided by the Affiliate in its marketing efforts, and the Affiliate hereby grants the Company a non-exclusive, royalty-free license to use the raw content for this purpose. The Affiliate represents and warrants that it has all necessary rights and permissions to provide the raw content to the Company, and that the use of the raw content by the Company will not infringe upon the rights of any third party. The Company reserves the right to reject any raw content provided by the Affiliate if it determines, in its sole discretion, that the raw content is inappropriate or does not meet the Company's standards;
- Commission and Payment
a) The Company will pay you a commission for each sale made through your unique affiliate link.
b) The commission rate and payment terms will be determined by the Company and may be changed at any time in its sole discretion.
c) The Company reserves the right to withhold payment or terminate your participation in the Program if it determines, in its sole discretion, that you have engaged in fraudulent activity or violated any of the terms of this Agreement.
- Intellectual Property
a) The Company owns all right, title, and interest in and to its trademarks, trade names, logos, and other intellectual property rights.
b) You may use the Company's intellectual property solely for the purpose of promoting the Company's products or services in accordance with this Agreement.
c) You may not use the Company's intellectual property in any manner that could cause confusion or dilute the value of the Company's intellectual property.
Either party may terminate this Agreement at any time, with or without cause, upon written notice to the other party. Upon termination, all rights and obligations under this Agreement will immediately cease.
- Limitation of Liability
a) The Company will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.
b) In no event will the Company's liability exceed the total amount of commissions paid to you under this Agreement.
- Governing Law
This Agreement will be governed by and construed in accordance with the laws of State of Delaware, without regard to its conflict of law provisions.
- Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, relating to the subject matter of this Agreement.
- Modification The Company may modify this Agreement at any time by posting a revised version on its website. Your continued participation in the Program after the effective date of the revised Agreement constitutes your acceptance of the revised Agreement.
By registering to enroll in the Program, you acknowledge that you have read and agree to be bound by this Agreement.
